These Terms of Service govern access to the Bloomlytix website and hosted platform. By creating an account, purchasing a subscription, or using Bloomlytix, you agree to these terms. If you accept on behalf of a business, you confirm that you have authority to bind that business. A signed order form or separate agreement may add to or override these terms for that engagement.
1. The service
Bloomlytix provides hosted ecommerce and operations software that may include storefronts, customer mobile apps, point of sale, staff and driver workflows, inventory and purchase records, cash tracking, delivery management, reports, and AI-assisted tools. Available features, limits, support, and channels depend on your plan, configuration, country, and agreed scope.
2. Accounts and authorized users
You must provide accurate information, keep credentials secure, assign appropriate permissions, and promptly notify us of suspected unauthorized access. You are responsible for activity performed through your accounts and for ensuring your users follow these terms.
3. Subscriptions, trials, fees, and renewal
- Subscription fees, included limits, add-ons, trials, and one-time fees are shown at checkout or in an agreed order form.
- Monthly and yearly subscriptions renew automatically for the selected billing cycle using the payment method on file unless a cancellation request is submitted and accepted before the next renewal date.
- If a free trial requires a payment method, the selected paid subscription begins automatically when the trial ends unless a cancellation request is submitted and accepted before the trial expiry shown at checkout or in your account.
- Applicable taxes and third-party fees, including payment gateway, messaging, developer-account, and app-store fees, are separate unless expressly included.
- App launch, onboarding, migration, integration, and other one-time fees cover the agreed implementation work and may become non-refundable once that work begins.
- Failure to pay may result in restricted or suspended access after reasonable notice where practicable.
- If we change a recurring subscription price, we will provide notice before the changed price applies to a future renewal where required by applicable law.
4. Cancellation, continued access, and refunds
- Request cancellation through your tenant. An authorized tenant administrator may submit a request at any time from Billing & Subscriptions in the Bloomlytix tenant admin panel by selecting Request Cancel Subscription. If the tenant controls are unavailable, the billing contact may email info@bloomlytix.com from the account email and identify the business and subscription.
- A request is pending until processed. Submitting the request creates a cancellation request for Bloomlytix review and does not by itself change the Stripe subscription or stop renewal. The subscription remains active while we verify the requester and process the request. We will confirm when the request has been accepted and provide the paid-through date.
- Accepted cancellation stops future renewal. Once accepted, cancellation is scheduled for the end of the current monthly or yearly billing period. The platform remains available through the confirmed paid-through date, subject to these terms, and then expires without another subscription renewal charge. Submit the request early enough for it to be reviewed and accepted before the next renewal date.
- Trials. To prevent the paid subscription from starting, submit the cancellation request early enough for it to be reviewed and accepted before the stated trial expiry. Trial access ends no later than that expiry.
- No partial-period refunds. Except where required by applicable law or expressly agreed in writing, subscription fees, one-time fees, add-ons, and other amounts already paid are non-refundable, including for an unused portion of a billing period.
- Outstanding obligations remain due. Cancellation does not erase charges incurred before the effective cancellation date, including approved usage, add-ons, implementation work, taxes, or other outstanding amounts.
- Mandatory rights remain protected. Nothing in this policy excludes a refund, remedy, or other right that cannot lawfully be excluded, including rights relating to a defective or inadequately provided service.
5. Plan changes and add-ons
Upgrades, added users (including drivers), branches, usage, customer app launches, and other add-ons may create immediate or future charges disclosed before confirmation. Downgrades normally apply from the next billing period unless we agree otherwise. Removing capacity does not refund the current paid period.
6. Onboarding and customer responsibilities
You are responsible for timely access to branding, product data, pricing, delivery rules, gateway accounts, app-store accounts, domains, legal content, and other information needed for launch. Delays in these items can change the implementation schedule.
You are responsible for the accuracy and legality of content, products, prices, customer communications, taxes, delivery promises, privacy notices, refunds, and business practices operated through your Bloomlytix tenant.
7. Acceptable use
You may not use Bloomlytix for unlawful, fraudulent, infringing, abusive, or harmful activity; attempt unauthorized access; interfere with the service; introduce malicious code; scrape or reverse engineer the platform except where law expressly permits; or exceed reasonable technical limits in a way that harms other users.
8. Customer data and intellectual property
You retain ownership of content and business data you submit. You grant Bloomlytix the rights needed to host, process, transmit, back up, and display that data to provide and support the service.
Bloomlytix and its licensors retain all rights in the platform, software, designs, documentation, trademarks, and improvements. A subscription provides a limited, non-exclusive, non-transferable right to use the hosted service during the paid term; it does not transfer source code or ownership unless a separate license expressly says so.
9. Privacy and security
Our Privacy Policy explains how Bloomlytix handles personal information. Each business customer is responsible for providing appropriate notices and establishing a lawful basis for personal information it collects and processes through its tenant.
10. AI-assisted features
AI-assisted suggestions may be incomplete, inaccurate, or unsuitable. You must review generated titles, descriptions, SEO fields, translations, blogs, and campaign content before publishing or relying on them. You remain responsible for the final content and its legal and factual accuracy.
11. Third-party services
Payment gateways, app stores, maps, messaging providers, and other integrations are operated by third parties under their own terms. Bloomlytix is not responsible for third-party approval decisions, outages, policy changes, fees, or account restrictions.
12. Availability, support, and changes
We work to keep Bloomlytix available and secure, but uninterrupted service is not guaranteed. Maintenance, security work, third-party incidents, and circumstances beyond reasonable control may affect availability. Support levels and response commitments apply only as stated in your plan or separate service-level agreement.
We may improve, update, replace, or retire features while seeking to preserve the overall value of the service. Material changes affecting a paid plan will be communicated where reasonably practicable.
13. Suspension, termination, and data at exit
We may suspend or terminate access for material breach, non-payment, security risk, unlawful activity, or misuse. Before paid access expires, you should export information you are entitled to retain using available tools or an agreed assistance process. After expiry or termination, access ends and data handling follows the applicable agreement, legal retention requirements, backup cycles, and our Privacy Policy.
14. Disclaimers and liability
To the maximum extent permitted by law, Bloomlytix is provided on an “as available” basis without warranties not expressly stated in a signed agreement. Bloomlytix is not responsible for indirect, incidental, special, punitive, or consequential losses, or for losses caused by customer content, third-party services, or misuse of the platform. Any liability that cannot be excluded will be limited as permitted by applicable law and any governing agreement.
15. Governing law and disputes
Unless a separate agreement states otherwise, these terms are governed by the applicable laws of the United Arab Emirates and the Emirate of Dubai, without limiting any mandatory rights that apply to you. The courts of Dubai will have jurisdiction, subject to any mandatory forum or dispute rights under applicable law. Before filing a formal claim, each party should first give the other a reasonable opportunity to resolve the issue.
16. Changes and contact
We may update these terms to reflect product, business, or legal changes. We will identify the effective date and provide additional notice of material changes where required. Continued use after an updated version takes effect constitutes acceptance where permitted by law.
